TRANSCRIPTION SERVICE AGREEMENT [Talking Leaves by Claire Frances]
Terms & Conditions : This Agreement is made effective as of the date of submission of this form and audio by and between Claire Frances, (http://clairefrances.info), and Assigned Customer on record validated by submission of this form for request of service to transcribe.
1. DESCRIPTION OF SERVICES: Transcribe audio to document format for Assigned Customer.
2. PAYMENT: Via PayPal to Claire Frances, ctfarp_2000@yahoo.com in accordance with amount invoiced via e-mail, stipulated in this agreement, and/or onsite at claire.moonfruit.com.
3. COST: Assigned Customer agrees to pay as follows: Standard Transcript, $0.90 per audio minute; and Verbatim Transcript, $1.00 per audio minute.Time stamp costs at additional $0.05 per audio minute on ANY transcript. Time stamp includes for (inaudibles), missing words, and audio gaps.
4. INVOICE: If any invoice is not paid AT TIME OF SERVICE, interest will be added to and payable on all overdue amounts up to 8% charge on unmet payment (exception is agreed time to validate 3rd party payment); AND within 48 hours of receipt of transcript (download of transcript on record and by e-mail, a sent copy of transcript) of cost of transcript; OR the maximum percent allowed under applicable laws, whichever is less. FAILURE TO PAY: Assigned Customer shall pay all costs of collection, including without limitation, reasonable attorney fees. In addition to any other right or remedy provided by law, if Assigned Customer fails to pay for the Services when due, transcriber has the option to treat such failure to pay as a material breach of this Agreement, and may cancel this Agreement and/or seek legal remedies. Payment by cash or check option available but transcript will not be received until payee is verified.
5. GUARANTEE: Transcriber shall provide services and meet obligations under this Agreement in a timely and orkpersonlike manner, using knowledge and recommendations for performing services which meet generally acceptable standards of online community, Claire Frances will provide a standard of care equal to, or superior to, care used by service providers similar to Transcriber’s similar projects.
6. TERMS: This Agreement will terminate automatically upon completion by Transcription delivery Services required by this Agreement
7. WORK PRODUCT OWNERSHIP: Any copyrightable works, ideas, discoveries, products, or other information (collectively“Work Product”) developed in whole or in part by Claire Frances in connection with the Services will be the exclusive property of Assigned Customer. Claire Frances may maintain a copy but this is not distributable but for record keeping purposes.
8.. CONFIDENTIALITY: Claire Frances, owner, transcriber – and any representatives will not at any time or in any manner, either directly or indirectly, use for the personal benefit divulge, disclose, or communicate in any manner, any information that is proprietary to Assigned Customer throughout and after termination of this Agreement.
9.. ENTIRE AGREEMENT: This Agreement contains the entire agreement of the parties regarding the subject matter of this Agreement not excepting other agreement whether oral or written.
